1. INTRODUCTION.

 

Welcome to the Terms of Use of the Season-Jobs.com websites! Please kindly read carefully through these terms and conditions of use (hereinafter referred to as the “Agreement”), as well as the Privacy and Cookie Policies, before you, the “User”, access or in any way use the websites.

The website located at http://www.season-jobs.com , and all the subdomains, related blogs, forums, and other sites which are directly related to such domain (referred to altogether as the “Websites”) are ran by SEASON JOBS, a company incorporated under the laws of Switzerland (also referred to herein as the “Company”, “we”, “us”, “our” and simply “Season Jobs”).

In case you disagree with any of the terms and conditions of this Agreement, please immediately discontinue your use and access of the Websites.

 

2. BINDING AND ENTIRE AGREEMENT.

 

These set of terms and conditions, as well as the privacy and cookie policy sections are construed to be a Binding Agreement between you, the User, either you are a Job Poster or employer, a Job Seeker or candidate, or both, and the Company, Season Jobs.

This Agreement, together with our Season Jobs Privacy and Cookie Policy (hereinafter the "Policies"), constitutes the entire understanding between you and Season Jobs regarding the access and the use of the Websites and supersedes and replaces any and all prior or contemporaneous agreements between you and Season Jobs. We make available to all users FAQ sections and/or guidelines or tutorials to improve the use of the Websites; these are meant for informational purposes only, and in case of contradictions between such informative sections on the Websites, and this Agreement and/or the Policies, the Agreement and the Policies shall rule over other sections of the Websites contradict and/or collide with.

 

3. DEFINITIONS.

 

To improve the understanding and the interpretation of this Agreement and the Policies, the following definitions, which you consent to, shall apply to this agreement:

“Employer” or “Job Poster” shall be the users holding a registered account to find staff, candidates or task performers through the posting of jobs, tasks and gigs, by means of the provided Services available on the Websites.

“Job Post” shall be all jobs, tasks, gigs or appointments displayed on the Websites by Employers or Job Posters, available for application for Job Seekers or Candidates, subject a set of particular requirements, talents, expertize and specific terms, as described on such post.

“Job Seeker” or “Candidate” shall be the Users, freelancers and companies who hold a registered authorized account on the Websites, and are seeking a job or task by means of the Platform ran by Season Jobs to provide its Services.

“Platform” shall be construed as the technology and the set of codes and algorithms, fueling the system and the Services on the Website.

“Services” shall be the set of services, features, memberships, status, available on the Websites and provided by means of the platform, ran by Season Jobs.

“Users” shall be all visitors, guests, members, account holders, Job Seekers and Candidates, Employers and Job Posters, and all others which browse on the website, and are subject of the terms and conditions of this Agreement.

“Websites” shall be the website located at http://www.season-jobs.com and all related subdomains, blogs, forums, chat-rooms, message and job boards, hosted on such domains, ran by Season Jobs.

 

4. SERVICES.

 

The Services available on the Websites through the Platform and tech engine allow Employers and Job Seekers to connect and engage on a posted job or task, in a fast and secure manner.

You agree and acknowledge that Season Jobs is entitled to modify, improve or discontinue any of the available services or their features, at any time, and at its sole discretion, and without any obligation to give notice to you. Such modifications, improvement or discontinuations may alter or prevent you from using the Services or information contained or related to such Services, or their features. Also, you agree and consent that Season Jobs may, at all times, provide the services to you or any Users through subsidiaries, affiliates, assignees or other involved third parties, without having to seek your consent to such event. Your only remedy for changes made to features or Services on the Websites is to discontinue your use of the Services.

 

5. INTELLECTUAL PROPERTY RIGHTS.

 

The intellectual property rights, trademarks and copyright available or published on this website, including without limitation, in all files, images, text, flash tutorials, audio files, podcasts, video files, documents, graphics, devices and code contained in it and in this website's general "look and feel" (all together the “Material”), is either i) owned by Season Jobs, its subsidiaries, affiliates or its third party providers; or ii) construed to be licensed to Season Jobs or any authorized third party. Such Materials are protected by international copyright laws and treaties, and Season Jobs shall prevent the wrongful use of any of its rights, to the maximum extent permitted by law.

All your use of any Material owned or licensed to Season Jobs shall be for non-commercial purposes, and you arenot cleared to make any copies or derivative works, either of owned or licensed content of the Websites, without written authorization by a verified Season Jobs representative.

You are further not allowed or authorized to the reproduction of part or all of the contents of the website in any form, including framing, creating any derivative work based on this website and or its content, incorporation into other websites, electronic retrieval systems or publications. You are strictly prohibited to copy or to reverse-engineer, reuse or revamp the features, system, platform, code and source code of the Websites.

Notwithstanding of what is determined in this agreement, nothing in this sections shall be construed as the grant of a license to use or reuse any intellectual property of Season Jobs.

All product names of the system, the platform and trademarks are property of Season Jobs, or the Company’s licensors, and affiliates.

 

6. INTELLECTUAL PROPERTY RIGHTS.

 

All Users by submitting, posting or uploading any sort of material, including, but not limited to images, messages, data, texts, software, code, photographs, descriptions, indications, answers, audio and video files (altogether referred to herein as the “User Generated Content” or the “UGC”), automatically grants and extends to Season Jobs a perpetual, irrevocable, non-exclusive, royalty free and transferrable license and authorization to use, reuse, alter, translate, change, reproduce, adapt, publish, republish, distribute, communicate, create derivative works from, perform or display their UGC in part or in whole, in whatever way Season Jobs seems fit, including, without limitation, marketing material, media, technology –current or future-, websites, blogs, newspapers, magazines, radio and television advertisements, and in all places Season Jobs deems fit. Users also grant a license to Season Jobs to exploit any UGC posted by them, and warrant to Season Jobs that they have full authority and the right to post, upload or send such UGC to the Season Jobs Websites, and that such UGC is not confidential or in any way breaching third party rights, to which the users agree to keep Season Jobs immune of, and that the information is complete and accurate. Furthermore, all Users waive all moral and intellectual rights to any uploaded or posted UGC.

 

7. LICENSE GRANT TO USERS.

 

Subject to the terms and conditions of stated in the Agreement and any modifications thereof, Season Jobs grants the user a non-exclusive, non-transferable, revocable license to use the Services and the platform running on the Websites. Any acquired rights by all granted Users are pendant and subject to the User’s compliance with this Agreement.

 

8. ELIGIBILITY.

 

In order to be eligible to use theWebsites, you hereby represent and warrant to Season Jobs that; i) you are at least eighteen (18) years old or older; ii) you have not ever been or are not currently restricted or otherwise prohibited or impeded to hold and manage an account with Season Jobs; iii) you are not using your account to compete, copy or investigate the Season Jobs company, business model or websites, and that you have no intention to damage Season Jobs in any way by opening an account on the Websites; iv) you are not holding another account on the Season Jobs Websites, and that you understand that you may only hold one account at a time; v) you have the full power or authority, or are otherwise authorized and empowered to enter into this Agreement and to be bound by it, even if you act in representation of a Company or another type of entity, and that you are not breaching a different Agreement by entering into this Agreement; vi) you agree to provide at your own cost all means and equipment to be able to access the Websites.

 

9. ACCOUNT REGISTRATION.

 

To access the Services available on the Websites, Users must create a Employer or Job Seeker “Account”, or log in using their Facebook, Twitter, LinkedIn or Google+ account. To create an Account, users must do the following:

  1. Provide true, accurate, current, verifiable and complete information about yourself on the forms for account registration of the Season Jobs Websites.
  2. Update any disclosed information which becomes obsolete, inaccurate or otherwise unusable to the rest of the Users or to Season Jobs.
  3. You are prohibited to impersonate a company, entity or a person for any reason whatsoever, thus the E-mail Address, usernames or any other forms of chosen profile data, which may or not be displayed on your profile, must not confuse, mislead or wrongfully attempt to benefit from a different profile, company, or user of the Websites.

Failure of compliance of this section may result in account suspension or definitive closure, and prohibition to access the Websites.

 

10. JOB POSTS.

 

These terms apply to all Job Posts;

  1. All the jobs, gigs and tasks available on the Websites, wither to simple posting, search result’s, or somehow linked to the Websites, are not created by Season Jobs, but by parties over which Season Jobs have no direct control of. All Users state to acknowledge that Season Jobs may, at any time whatsoever, and as a result of their sole interpretation, vet, delete, modify or otherwise alter Job Posts, if in good faith and mere suspicion, such posts breach the terms and conditions of this Agreement, or is in otherway detrimental to Season Jobs, or their affiliates, directors, owners, employees, or to its user community. Season Jobs shall also be granted this right in the event a Job Post is lacking quality standards, does not have a clear or lacks accurate description, or other reasons, detrimental to the User Community.
  2. You hereby understand that Season Jobs makes no warranties regarding the authenticity of Job Posts, the integrity or behavior of Job Posters and Employers. Season jobs shall therefore have no liability to any and all Users or any responsibility for the content, legitimateness, availability, legality of any Job Posts, information, description, or other related posts, including without limitation any Candidates’ or Job Seekers’ applications and questions or statements to such posts.

 

11. ADDITIONAL TERMS APPLICABLE TO EMPLOYERS.

 

Employers shall be subject to the following specific terms:

  1. Employers are to keep their accounts confidential to warrant the access by one single User, even when they were a company or a different entity.
  2. The previous statements extend to the use of passwords and profiles, as applicable. These are not to be shared with any other person, unless the company or entity specifically authorizes such change. Season Jobs shall not be held responsible for breaches due to negligence or absence of care in the employer’s account security.
  3. All Job Post coming from any employer account are responsibility of that employer account. The employer shall be liable for its content, its veracity and its information; notwithstanding of what is determined here, the employer shall take full responsibility of all activity repeatedto the employer account.
  4. If the employer chooses and hires a Job Seeker or Candidate, employer does so at employer’s sole responsibility and assumes all risks. Season Jobs does not make any representations of the suitability, compromise, truthfulness or quality of any Job Seeker or Candidate, and has no control of the Job Seeker or Candidate actions or commitment. SEASON JOBS RECOMMENDS TO HIRE AND ENGAGE WTH JOB SEEKERS AND CANDIDATES WITH PRECAUTION AND TO MAKE ALL BACKGROUND CHECKS WHICH MAY OR NOT BE REQUIRED FOR THE SELECTION OF AN ADEQUATE JOB PERFORMER.
  5. Employer agrees to provide Season Jobs with a valid payment method, compatible with the payment options offered by Season Jobs. Employment warrants to Season Jobs that any card or account information disclosed to the Company is true, and that they have full authority to use such payment methods, or have full authorization of the entitled third parties involved in such payment method. Employer extends to Season Jobs authorization to make charges to the or any provided payment methods, subject to any available plans or memberships offered by Season Jobs on the Websites.
  6. Employer agrees to immediately notice Season Jobs of a possible account breach, or suspicion of unauthorized actions. Season Jobs may suspend any account on such suspicion. Notwithstanding of what is determined in this Agreement, Season Jobs shall have no liability regarding account breaches, or any Website malfunction.
  7. Employer agrees that Season Jobs may change or modify the Services available to any employers regarding of their status or membership plan, at Season Jobs’ sole discretion, including the number of profile views, messages or engagements the Employer may use in a particular set of time.
  8. Furthermore, the Employer agrees and acknowledges that in the event of account suspension or definitive termination, all information related to such account shall be deleted permanently from the Servers and Data Bases of Season Jobs or any hired third parties. I. EMPLOYER WARRANTS TO SEASON JOBS TO COMPLY WITH ANY APPLICABLE LOCAL, NATIONAL OR INTERNATIONAL LAWS REGARDING THE HIRING AND PAYMENT TO ANY ENGAGED OR HIRED JOB SEEKER BY MEANS OF THE SERVICES AVAILABLE ON THE WEBSITE. EMPLOYER STATES NOT TO TRANSFER SUCH OBLIGATIONS ONTO SEASON JOBS. EMPLOYER ALSO AGREES NOT TO TRANSFER SUCH OBLIGATIONS TO ENGAGED OR HIRED JOB SEEKERS, UNLESS THE LAW STRICTLY PERMITS IT, AND IT HAS BEEN PREVIOUSLY DISCUSSED AND ACCEPTED BY THE ENGAGED OT HIRED JOB SEEKER. AT ALL TIMES SHALL THE EMPLOYER BE COMPLIANT TO LOCAL FINANCIAL AND TAX LAWS, AND MAKE ALL NECESSARY ARRANGAMENTS THAT THESE REGULATIONS ARE MET WHEN HIRING OR ENGAGING THROUGH THE WEBSITES, WHENEVER APPLICABLE UNDER LOCAL OR INTERNATIONAL REGULATION.

 

12. ADDITIONAL TERMS APPLICABLE TO JOB SEEKERS.

 

Job Seekers or Candidates shall be subject to the following specific Terms.

  1. Upon registration to the Season Jobs Websites, the Job Seeker shall be holder of a registered Job Seeker account, after having registered certain information, including, but not limited to, a current E-mail Address.
  2. All information disclosed on the registration for Job Seekers must be accurate, truthful, verifiable, and current. Job Seekers must complete their full profiles after registration to improve possibilities of being hired and engaged by Employers or Job Posters.
  3. Job Seekers consent that Season Jobs holds the exclusive right to close any job seekers account at any time, for any particular reason it deems fit.
  4. You may not: i) invent facts on your Profile or CV, or report incomplete facts or information; ii) disclose wrong or inaccurate information about yourself or your work experience; iii) attempt to change prices previously agreed on; iv) directly engage with a possible client, employer or Job Poster; v) attempt to circumvent Season Job’s business model or this Agreement or its Policies; vi) hold more than one account; and vii) attempt to maliciously create accounts or hold more than one account at the same time
  5. You shall keep Season Jobs immune to every and all natured claims which derive from your performance as a hired or engaged Job Seeker through the Websites.
  6. Job Seekers shall elect any of the available withdrawal options. These options are the only currently available. Season Jobs may in the future offer more options for withdrawal of funds for Job Seekers, but shall not be obligated to do so.
  7. You understand and acknowledge that Season Jobs shall not be liable to you for any conduct, action or omission of a Job Poster or Employer, nor does Season Jobs warrant the accuracy, truthfulness, integrity and suitability of any Job Poster, Job Posts, or specific Jobs, therefore, Season Jobs shall accept no claims there to.
  8. Job Seekers or candidates authorize and acknowledge that Season Jobs may immediately deduct a percentage fee of XX,XX% after payment of an Employer or Job Poster. The balance shall then appear in the job seekers account and the deducted amount shall be specified and itemized as determined by law.
  9. Job Seekers are to inform themselves of the implications of any Jobs available on the Websites, including, but not limited to, any obligations of insurances, labor laws, accommodations, and so on.
  10. JOB SEEKER STATES AND WARRANTS TO SEASON JOBS THAT THEY SHALL PERFORM AND ACT AT ALL TIMES IN STRICT COMPLIANCE WITH ANY APPLICALBE LAW AND REGULATION, AND THAT PERFORMANCE OF ANY JOB ACQUIRED THROUGH THE WEBSITES SHALL BE MADE WITHIN LEGAL BOUNDARIES. THE ACCEPTANCE OF JOBS WHICH BREACH ANY REGULATIONS OR LAW SHALL BE EXCLUSIVE RESPONSIBILITY OF THE JOB SEEKER. ALL APPLICABLE TAXES SHALL BE BORNE BY THE JOB SEEKER WHENEVER APLICABLE; SEASON JOBS SHALL NOT MAKE ANY TAX OR FINANCIAL STATEMENTS, DEDUCTIONS, OR OTHER TAX ARRANGEMENT, AND THE JOB SEEKER SHALL INDEMNIFY SEASON JOBS FOR ANY CLAIMS OF ANY AND ALL PARTIES, INCLUDING WITHOUT LIMITATION, ANY GOVERNMENT AUTHORITY OR AGENT, REGARDING TAX OR REGULATORY PAYMENTS EMERGING FROM ANY ENGAGEMENTS OF JOBS OR TASKS BY MEANS OF THE WEBSITES.

 

13. PROHIBITIONS.

 

All Users agree not to engage, or aid or encourage third parties or other users to engage in the following activities:

  1. Posting or uploading of illegal, damaging, threatening, defamatory, invasive, obscene, discriminating, or otherwise harmful content.
  2. Create content, including without limitations any Job Posts, which are untrue, invented, unclear, malicious or in some other form ill intended, misguiding the Users of the Websites, or confusing the other Users by making misrepresentations of Season Jobs or other third parties.
  3. Find or aiding in the exploit of errors of the system or platform, wrongfully alter the Services slowing them down or rendering them useless, benefiting of glitches or bugs, reverse engineering, illegally accessing or attempting to access through backdoors, the Websites and any sections portrayed on them.
  4. Making available to the Users or other third parties information which may or has been tagged as confidential or is against the law or any other particular regulation which may apply.
  5. Infringing the trademarks and intellectual property of Season Jobs, as well of benefiting from any Material in a commercial manner.
  6. Registering wrong information or false email addresses on the Websites.

 

14. OBLIGATION TO CONTROL.

 

Season Jobs cannot and shall not actively monitor, control or endorse UGC or User activities; therefore there may be actions that Season Jobs does not duly identify, even thou it occurs on the Websites. Users acknowledge that it would be impossible for Season Jobs to have absolute control of every part of the Websites, and they understand and agree that Season Jobs does not extend any warranties to the accuracy, integrity or quality of any UGC or User Activities. Season Jobs is open to suggestions or notices of any claims regarding UGC and User Activities, but shall not be construed to be obligated to initiate an investigation, unless it were convenient at their sole discretion.

 

15. CHANGES TO THESE TERMS.

 

Season Jobs shall hold the exclusive right to change the terms and conditions of this Agreement, make additions, subtract or modify whatever section it sees fit, including the Policies, without having to formally notice the Users of the Websites. Season Jobs may however give notice to Users. User’s continued use of the Websites after such modifications, additions or subtractions have taken place, shall be construed by Season Jobs as the User’s acceptance of such Terms.

The only remedy Users may seek of any changes to these Terms is the closing of their accounts and to discontinue their account use and memberships.

 

16. NO RESALE OR UNAUTHORIZED COMMERCIAL USE.

 

All Users state to understand that they are strictly prohibited to sell, resell or assign or reassign any rights or obligations acquired by means of the Websites, or imposed or created by this Agreement. Additionally, all users agree not to make unauthorized commercial use of any UGC, Intellectual property, trademarks or content of the Season Jobs Websites.

 

17. NOTICE.

 

Season Jobs may deliver notice to you by means of the following; i) your provided E-mail address; ii) a general notice on the Website’s home or profile sections; or iii) by other reliable methods, which may be available currently or in the future, related to provide information by Users, upon registration.

 

18. PRIVACY.

 

Season Jobs is very responsible and serious with the handling your private information on the Sites. We advise you read our Privacy and Cookie Policies to be informed on how we use, collect and protect your information.

 

19. LINKS TO THIRD PARTY SITES.

 

The Websites and/or the Services portrayed thereon, may or may not contain and feature links which direct to third party websites, advertisements, services, special offers, or other commercial or marketable places on the internet (altogether referred to as “Third Party Sites”), which are not owned nor controlled by Season Jobs and/or its affiliates. You hereby agree and state that you understand that neither Season Jobs nor its affiliates in any way endorse or assume any responsibility for any such Third Party Sites, or any of the information, materials, products, or services which those Third Party Sites may offer, sell or advertise. If you choose to follow, enter and or pursue any such Third Party Sites you do so at your own risk, and you state that you shall not hold Season Jobs liable for any results, damages, either direct or indirect, from your choice to use such Third Party Websites. This includes any sporadic and/or more or less permanent sponsors Season Jobs may from time to time endorse; WE STRONGLY RECOMMEND ALL USERS THAT YOU READ THE TERMS AND CONDITIONS OR TERMS OF USE, AS WELL AS THE PRIVACY AND COOKIE POLICIES OF THOSE THIRD PARTY SITES YOU CHOOSE TO ACCESS.

 

20. FORCE MAJEURE.

 

Season Jobs and its affiliates, shareholders, directors, officers, agents, employees and representatives shall not be liable for any losses or damages, and shall be excused from any delay or failure in performance hereunder, or service provision, which have been caused due to any reason or circumstance, including, but not limited to, any labor dispute or disturbances, governmental order or requirements, acts of God, casualties due to natural phenomena, disaster, wars and other civil disturbances, act of terrorism, strikes, fire, failure of equipment and/or software, interruptions in telecommunication, internet and network services downtime, general serve failures, and other circumstances beyond Season Jobs' control including the failure of its hired third parties to perform. The aforementioned extends to there not being liability of any party which participates in this Agreement which may entail delays or non-performances and errors, which were derived of factors beyond any of the parties reasonable control, such as power failures, internet downtime, network failures, digital commodity unavailability, system failures, and others, provided that all proceedings of the involved parties be made in good faith and procuring avoidance of any negative effects onto the involved parties.

 

21. SECTION HEADINGS.

 

Section headings in this Agreement are for convenience only, and shall not govern the meaning or interpretation of any provision of this Agreement.

 

22. ASSIGNMENT.

 

This Agreement, and all the rights and licenses granted hereunder, are not to be transferred by any users onto, or in favor of any third parties, unless previous written authorization and consent has been extended by Season Jobs. You acknowledge and agree that Season Jobs may transfer and assign these Terms to any affiliates or subsidiaries, or to any eventual successors, without having to notice Users in advance.

 

23. ENUREMENT.

 

This whole Agreement shall inure to the benefit of and be binding upon each of the parties any of Season Jobs affiliates or assignees, including but not limited to owners, authorized parties, drivers, agents, companies and Service Providers, or mere advertising parties, as well as any authorized assignees of the Users. You acknowledge having read these Terms before accepting them, and declare that you have all and complete authority to accept and enter into this Agreement and of receiving a digital copy of this Agreement.

 

24. RELEASE OF SEASON JOBS.

 

WHENEVER A USER HAS A DISPUTE WITH ANOTHER USER OF THE SYSTEM, REGARDLESS OF IT BEING AN EMPLOYER OR AN JOB SEEKER, ALL USERS AGREE AND COMMIT TO RELEASE SEASON JOBS AND ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, AGENTS, EMPLOYEES AND REPRESENTATIVES AS WELL AS ANY OTHER SERVICE PROVIDERS AND/OR PRODUCT SUPPLIERS, FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES - EITHER ACTUAL OR CONSEQUENTIAL - OF ANY KIND AND NATURE WHICH DERIVE OUT OR ARE IN ANY WAY CONNECTED TO SUCH DISPUTES. USER ALSO WAIVES ALL LEGAL CLAIMS TO AND AGAINSTSEASON JOBS DERIVING OF THE AFOREMENTIONED DISPUTES WITH OTHER PARTIES OUTSIDE OF THE WEBSITES WHICH MAY BE SOMEHOW RELATED TO THE SERVICES PROVIDED ON THE WEBSITES PROVIDED BY SEASON JOBS.

 

25. CHOICE OF LAW AND JURISDICTION.

 

The parties agree that this Agreement shall be governed by and construed in accordance with the laws of the SWISS CONFEDERATION (SWITZERLAND), without giving effect to any conflict of law principles. All courts and tribunals of the country shall have jurisdiction to all matters related to this Agreement.

 

26. TRANSLATION.

 

In case you are reading this Agreement in a language different its original language (UK English), this English version shall govern over any translated versions, should there be any discrepancies or differences of interpretation.

 

27. DISCLAIMER.

 

THE SERVICES AVAILABLE TO USERS ON THE SITES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, AND SEASON JOBS DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. ADDITIONALLY, SEASON JOBS MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE, EITHER EXPRESSED OR IMPLIED, REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY THIRD PARTY GOOD OR SERVICES OBTAINED IN CONNECTION THEREWITH WILL REMAIN SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

 

28. LIMITATION OF LIABILITY.

 

SEASON JOBS SHALL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF SEASON JOBS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SEASON JOBS SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES INCURRED BY YOU ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY PROVIDER, EVEN IF SEASON JOBS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SEASON JOBS SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND SEASON JOBS’S REASONABLE CONTROL.

THIS LIMITATION TO LIABILITY EXTENDS TO ANY SORT OF SECURITY BREACH WHICH MAY OCCUR ON THE WEBSITE, UNAUTHORIZED ACCESS, DIRECT ATTACKS OR ANY OTHER MALICIOUS ATTEMPT TO BREACH THE WEBSITE’S SECURITY; YOU WAIVE ALL RIGHTS TO CLAIM OR DEMAND COMPENSATION OF ANY LOSSES RELATED TO BREACHES OF SECURITIES, HACKS, VIRUSES, WORMS AND OTHER MALICIOUS SOFTWARE, REGARDLESS OF ITS ORIGIN.

TO THE FULLEST EXTENT PERMITTED BY APLICABLE LAW AND REGULATION, SEASON JOBS’S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY OF THE AVAILABLE SERVICES ON THE WEBSITES OR YOUR USE OF THE CONTENT PORTRAYED THEREON, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), WILL NOT EXCEED 100 EUR.

THESE LIMITATIONS DO NOT PURPORT TO LIMIT LIABILITY THAT CANNOT BE EXCLUDED UNDER THE LAW IN THE JURISDICTION OF YOUR PLACE OF RESIDENCE.

 

29. INDEMNITY.

 

You agree to indemnify and hold Season Jobs and its officers, directors, employees and agents, harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees), arising out of or in connection with: (i) your use of the Services; (ii) your breach or violation of any of these Terms; (iii) the use of Season Jobs of your content and material, or that of any portrayed UGC; or (iv) your violation of the rights of any third party, including any possible Third Party Providers, be they present or Future.

 

30. SEVERABILITY.

 

If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

 

31. ENTIRE AGREEMENT AND MODIFICATIONS.

 

This Agreement supersedes all prior understandings and negotiations regarding the subject thereof, and represents the complete agreement between you and Season Jobs. These Terms do no create or confer any third-party beneficiary rights.

 

32. TERM AND TERMINATION.

 

The Terms of this Agreement shall remain in full force and effect for as long as the User makes use or continues to access the Websites, even if such User is not an account holder.

Users agree and acknowledge that Season Jobs may terminate and accounts if in good faith it reasonable suspects or determines that activity deriving of that account is or may be illegal, breaches this agreement, or is otherwise harmful to Season Jobs, or to other Users.

 

33. SURVIVAL.

 

To prevent possible misuse or abuse of any of the involved parties of this agreement, all provisions or sections reasonably required by law are to survive termination or expiration of this Agreement, and shall still be applicable. These include but are not limited to: INDEMNITY, SEVERABILITY, TERM AND TERMINATION, LIMITATION OF LIABILITY, FORCE MAJEURE, TRANSLATION, LINKS TO THIRD PARTY SITESCHOICE OF LAW AND JURISDICTION, ASSIGNMENTS, LICENSE GRANT TO USERS AND PROHIBITIONS.
